Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (“Terms”) are a binding agreement between you and Tectli (“Tectli,” “we,” “us,” or “our”) governing your access to and use of the Tectli software, websites, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business.

1. License to use the Service

Subject to these Terms and your payment of applicable fees, Tectli grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We retain all rights not expressly granted.

2. Your account

You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful, infringing, or fraudulent purpose.
  • Attempt to gain unauthorized access to the Service or its systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, copy, or resell the Service except as permitted by law.
  • Upload malicious code or data you do not have the right to use.

4. Connected services (including QuickBooks)

The Service can integrate with third-party platforms at your direction, such as Intuit QuickBooks Online, Google, messaging providers, and a payment processor. Your use of those platforms is governed by their own terms, and you are responsible for complying with them. You authorize Tectli to exchange data with a connected platform only to provide the features you enable. Tectli writes to your QuickBooks company only the records you explicitly review and approve, and never deletes or voids QuickBooks records. We are not responsible for third-party platforms or for changes they make to their services.

5. Fees and billing

Paid plans are billed in advance on a recurring basis through our payment processor. Fees are non-refundable except as required by law or expressly stated. We may change pricing on a going-forward basis with reasonable notice. You are responsible for applicable taxes.

6. Your data

As between you and Tectli, you own the Customer Data you enter or import into the Service. You grant us a limited license to host, process, and display that data solely to provide and improve the Service. Our handling of personal information is described in our Privacy Policy.

7. Intellectual property

The Service, including its software, design, and content (excluding your Customer Data), is owned by Tectli and protected by intellectual-property laws. These Terms do not transfer any ownership in the Service to you.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data synced with third-party platforms will always be accurate or available.

9. Limitation of liability

To the maximum extent permitted by law, Tectli will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Tectli harmless from claims, damages, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service. Upon termination, your right to use the Service ends; we will make your data available for export for a reasonable period unless prohibited by law.

12. Governing law

These Terms are governed by the laws of Florida, USA, without regard to conflict-of-laws rules. The courts located in Florida, USA will have exclusive jurisdiction over disputes, except where prohibited by applicable law.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and your continued use of the Service constitutes acceptance of the updated Terms.
